By downloading, installing, or using ShopGoodwill Sniper (also marketed as ShopGoodwill Auction Sniper and Goodwill Auction Bot, collectively "the Software"), made available by Snipeable ("Snipeable," "we," "us," or "our") at snipeable.com, you ("User" or "you") agree to be legally bound by these Terms & Conditions ("Terms").
IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, YOU MUST NOT DOWNLOAD, INSTALL, OR USE THE SOFTWARE. YOUR DOWNLOAD OR USE OF THE SOFTWARE CONSTITUTES YOUR UNCONDITIONAL ACCEPTANCE OF THESE TERMS.
Subject to these Terms, Snipeable grants you a limited, non-exclusive, non-transferable, revocable, royalty-free license to download and use the ShopGoodwill Sniper software on devices you own or control, solely for personal, non-commercial purposes.

The Software is free to download. However, a service fee is charged by Snipeable on each ShopGoodwill auction you win using the Software. The fee amount and percentage are determined by Snipeable and may change at any time. Use of the Software constitutes acceptance of applicable fees. Snipeable reserves the right to change pricing or access terms at any time without notice.

The names "ShopGoodwill," "Goodwill," and related marks are the property of their respective owners. Their use herein is solely to describe software interoperability and does not imply any association or endorsement.
Use of this Software with ShopGoodwill.com is entirely at your own risk and may be subject to ShopGoodwill.com's own terms of service, which you are independently responsible for reviewing and complying with.
Use of the Software requires both a valid Snipeable account and an active ShopGoodwill.com account. The sniper engine will only operate when both accounts are authenticated. You are solely responsible for:

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO SNIPEABLE IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR TEN DOLLARS ($10.00), WHICHEVER IS GREATER.

The Software, its source code, design, graphics, and all related content are the intellectual property of Snipeable and are protected by copyright, trademark, and other applicable laws. All rights not expressly granted herein are reserved by Snipeable.
Any feedback, suggestions, or ideas you provide regarding the Software may be used by Snipeable without obligation or compensation to you.
Snipeable may release updates, patches, or new versions of the Software at any time, with or without notice. Updates may change or remove features. Snipeable has no obligation to provide updates or continued support.
Snipeable reserves the right to discontinue, modify, or restrict access to the Software at any time, without notice or liability to you.
We reserve the right to modify these Terms at any time. Updated Terms will be posted at snipeable.com/terms. Your continued use of the Software after any changes constitutes your acceptance of the modified Terms.
These Terms are effective until terminated. Snipeable may terminate your license immediately and without notice if you violate any provision of these Terms. Upon termination, you must immediately cease all use of the Software and delete all copies in your possession.
Termination does not limit any other rights or remedies Snipeable may have at law or in equity.
The Software is distributed as a native Windows (.exe) and macOS application directly from snipeable.com. Because it is not distributed through official app stores, some antivirus software or operating system security features (such as Windows SmartScreen or macOS Gatekeeper) may display warnings when running the installer. These warnings are common for independently distributed desktop software and do not indicate the presence of malware.
You download and install the Software entirely at your own risk. Snipeable is not responsible for any conflicts between the Software and your security software, operating system, or hardware configuration.
Your use of the Software is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.
These Terms are governed by the laws of the United States, without regard to conflict of law principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Software shall be resolved exclusively by binding individual arbitration. You waive any right to participate in a class action lawsuit or class-wide arbitration.
To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of federal and state courts located in the United States.
If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Snipeable regarding the Software and supersede all prior agreements, understandings, or representations.
